Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") form a binding agreement between you and RayCentral LLC ("RayCentral", "we", "us", or "our"), a limited liability company registered in New Mexico, United States. They govern your use of our website, mobile applications, desktop software, and related services (together, the "Services").

By downloading, installing, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services. If you accept on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Eligibility

You must be at least 13 years old, or the minimum age of digital consent in your country, to use the Services. If you are under the age of majority where you live, you may use the Services only with the involvement of a parent or legal guardian who agrees to these Terms.

3. Licence to use the Services

Subject to these Terms, RayCentral grants you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use our applications on devices you own or control, for your personal or internal business purposes.

You may not:

• Copy, sell, rent, lease, sublicense, or redistribute the Services.
• Reverse engineer, decompile, or disassemble any part of the Services, except where that restriction is prohibited by law.
• Remove or alter proprietary notices, branding, or licence keys.
• Use the Services to build a competing product, or to train machine-learning models on our software or content.

4. Accounts and security

Some features require an account. You agree to provide accurate information, to keep your credentials confidential, and to be responsible for all activity under your account. Notify us at contact@raycentral.net immediately if you suspect unauthorized access. We may suspend an account we reasonably believe is compromised or used in violation of these Terms.

5. Acceptable use

When using the Services, you agree not to:

• Break any applicable law, regulation, or third-party right.
• Access, probe, or interfere with any network, system, or account without proper authorization.
• Upload malware, or attempt to disrupt, overload, or gain unauthorized access to our infrastructure.
• Circumvent security features, rate limits, licensing checks, or usage restrictions.
• Harass, abuse, impersonate, or harm other users or our staff.
• Use automated tools to scrape or extract data from the Services beyond what our documented APIs allow.

6. Responsible use of network tools

Certain RayCentral applications include diagnostic features such as device discovery, port analysis, and connectivity testing. These are provided for legitimate administration and troubleshooting of networks you own or are explicitly authorized to test.

Scanning or probing networks without authorization may be illegal under laws including the US Computer Fraud and Abuse Act and equivalent legislation elsewhere. You are solely responsible for obtaining permission before using these features, and for complying with all applicable laws. We may suspend access where we reasonably believe these features are being misused.

7. Purchases, subscriptions, and refunds

Some Services are paid or offer optional in-app purchases and subscriptions. Prices are shown before you confirm a purchase and may vary by region and over time.

• Billing — purchases made through the Apple App Store or Google Play are processed and billed by Apple or Google under their terms; we never receive your full payment card details.
• Auto-renewal — subscriptions renew automatically for the same period unless cancelled at least 24 hours before the current period ends.
• Cancellation — manage or cancel a subscription in your App Store or Google Play account settings. Cancelling stops future charges; access continues until the end of the paid period.
• Refunds — refunds for store purchases are handled by Apple or Google under their refund policies. For purchases made directly from RayCentral, contact us within 14 days and we will review the request in good faith.
• Free trials — where offered, an unused trial converts to a paid subscription unless cancelled before it ends.

8. Your content

You retain ownership of the content, files, and data you create or upload through the Services ("Your Content"). You grant RayCentral a limited licence to host, process, transmit, and display Your Content solely as needed to operate the Services for you. We do not claim ownership of Your Content and do not use it for advertising.

You are responsible for having the rights to Your Content and for ensuring it does not violate law or third-party rights. We may remove content that breaches these Terms.

9. Intellectual property

The Services, including all software, source code, designs, text, graphics, and the RayCentral name and logo, are owned by RayCentral LLC or its licensors and are protected by copyright, trademark, and other laws. Except for the licence in Section 3, no rights are granted to you. Third-party open-source components remain governed by their own licences, which are listed in the applicable app or documentation.

We welcome feedback and suggestions. If you send them, you grant us an unrestricted, royalty-free right to use them without obligation to you.

10. Third-party services

The Services may link to or integrate with third-party products, websites, and platforms. We do not control them, do not endorse them, and are not responsible for their content, terms, or privacy practices. Your use of a third-party service is governed by that party's agreement with you.

11. App Store and Google Play provisions

Apple App Store

These Terms are between you and RayCentral LLC only, not with Apple Inc. Apple has no obligation to provide maintenance or support for our applications. If an application fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation. RayCentral, not Apple, is responsible for addressing product-liability, intellectual-property-infringement, and legal-compliance claims relating to our applications. You represent that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not on any US Government restricted-parties list. You must comply with any applicable third-party terms of agreement when using our applications. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Google Play

Applications obtained through Google Play are also subject to the Google Play Terms of Service. Google is not a party to these Terms and is not responsible for our applications. Any claim relating to an application obtained through Google Play is between you and RayCentral LLC.

12. Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. Please read it before using the Services.

13. Updates, changes, and availability

We may release updates, add or remove features, and discontinue a Service or a feature. Updates may be installed automatically where your device settings allow. We aim for high availability but do not guarantee the Services will be uninterrupted or error-free, and maintenance or factors outside our control may cause downtime. Where we discontinue a paid Service, we will provide reasonable notice and, where appropriate, a pro-rated refund for the unused portion.

14. Termination

You may stop using the Services and delete your account at any time — see the account-deletion section of our Privacy Policy. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services and other users. On termination, the licence in Section 3 ends and you must stop using and delete the software. Sections that by their nature should survive — including Sections 8 through 11 and 15 through 20 — survive termination.

15. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that diagnostic results, measurements, or reports produced by the Services are complete or error-free, and they should not be relied on as the sole basis for a security or operational decision. Some jurisdictions do not allow the exclusion of implied warranties, so parts of this section may not apply to you.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAYCENTRAL LLC AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud, death, or personal injury caused by negligence.

17. Indemnification

You agree to indemnify and hold harmless RayCentral LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, Your Content, your breach of these Terms, or your violation of any law or third-party right.

18. Governing law and dispute resolution

These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law rules. The parties agree to the exclusive jurisdiction of the state and federal courts located in Bernalillo County, New Mexico, except that either party may seek injunctive relief in any court of competent jurisdiction.

Before filing a claim, you agree to contact us at contact@raycentral.net so we can try to resolve the dispute informally within 30 days. If you are a consumer in the EEA or UK, nothing here deprives you of the protection of mandatory consumer laws or the right to bring proceedings in your country of residence.

19. Changes to these terms

We may update these Terms as our Services and legal obligations evolve. The "Last updated" date at the top reflects the current version. For material changes, we will give reasonable advance notice — for example an in-app message or an email. Continuing to use the Services after the changes take effect means you accept the revised Terms; if you do not accept them, stop using the Services and delete your account.

20. General provisions

• Entire agreement — these Terms and the Privacy Policy are the entire agreement between you and RayCentral regarding the Services.
• Severability — if a provision is held unenforceable, the rest remains in full effect.
• No waiver — our failure to enforce a provision is not a waiver of it.
• Assignment — you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure — neither party is liable for delays caused by events beyond its reasonable control.
• Export compliance — you agree to comply with all applicable export-control and sanctions laws.
